Welcome to Wayly. Please read these Terms of Use ("Terms", "Agreement") carefully before using the Wayly mobile application (the "App"), our website, or services operated by Wayly Inc. ("us", "we", or "our").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the Terms, you may not access our App or use our Services.
1. Standard End User License Agreement (EULA)
Since our primary product is an iOS mobile application distributed via the Apple App Store, your license to use the App is subject to your prior acceptance of this Agreement. You acknowledge that this Agreement is concluded solely between you and Wayly Inc., and not with Apple Inc. Wayly Inc., not Apple Inc., is solely responsible for the App and its content.
You agree to comply with all applicable third-party terms of agreement when using the App (for example, your wireless data service agreement). You acknowledge that Apple Inc. has no obligation whatsoever to furnish any maintenance and support services with respect to the App, and any claims relating to intellectual property, product liability, or consumer protection are directed solely to Wayly Inc., not Apple.
2. Travel Intermediary Status and Supplier Policies
Wayly acts strictly as an intermediary technology interface between users and third-party travel suppliers (such as airlines, hotel inventory distributors, and event organizers).
- No Operator Status: Wayly is not a common carrier, lodging provider, or tour operator. We do not own, manage, control, or operate any aircraft, hotel rooms, yachts, or activities.
- Pricing and Availability: All rates and flight/room availability displayed are real-time estimates sourced from third-party APIs. A booking request is only fully confirmed and ticketed once payment is validated and the supplier issues the final reservation code.
- Supplier Rules: By booking via Wayly, you agree to comply with the terms and conditions, carriage guidelines, tariff rules, and refund restrictions of the specific travel supplier (e.g., airline baggage restrictions, hotel check-in age requirements).
3. Cryptocurrency Payments & On-Chain Validation
We accept digital asset payments (USDT, USDC, BTC, SOL, ETH) processed via secure, automated invoices (Payfall). Due to the nature of blockchain technology, these transactions are subject to strict rules:
- Transaction Irreversibility: Cryptocurrency transactions are permanent and irreversible. Once sent, we cannot cancel, intercept, or retrieve the transfer.
- Server-Side Validation: All payments are validated server-side. A payment is only recognized when the received amount, token type, and blockchain network precisely match the generated invoice order.
- Risk of Loss: You bear sole responsibility for sending funds to the correct wallet address using the correct blockchain network. Sending unsupported tokens or using mismatched networks (e.g. sending ERC-20 tokens to a Solana or TRC-20 address) will result in the permanent loss of your funds. Wayly is not liable for transaction failures.
- Underpayments & Overpayments: Underpaid invoices will not trigger booking fulfillment. The user will be required to claim a refund for the underpaid amount (subject to blockchain network fee deductions) or pay the outstanding balance before the invoice expires.
4. Pre-Fulfillment Verification and Rate Expiration
Travel rates fluctuate rapidly. Because cryptocurrency validation depends on blockchain network speeds and confirmations, a delay can occur between the creation of an invoice and transaction finality.
We re-validate prices and supplier availability immediately before triggering final booking fulfillment. If a price change occurs, or if the inventory becomes unavailable/expired before ticketing, we reserve the right to halt the booking and immediately route the transaction amount to the secure Claim rail for a full refund of the received amount.
5. Cancellation, Refund Claims, and Network Fees
Travel bookings are generally non-refundable unless explicitly stated otherwise by the third-party travel supplier. In the event of a supplier-initiated cancellation, flight schedule collapse, or failed ticketing:
- The system will route the eligible refund to the secure Claim rail.
- You can view and trigger your refund claims within the App.
- Refunds are paid back in the original digital asset and network, minus any necessary blockchain network transaction costs (gas fees). Wayly does not cover blockchain transfer fees for refunds.
- Wayly is not responsible for fluctuations in the exchange rate or market value of the digital asset between the time of payment and the processing of a refund.
6. Acceptable Use and Account Safety
You agree not to use the Services for any illegal or fraudulent activities, including credit card fraud, money laundering, or attempting to compromise database/server secrets. We reserve the right to suspend any account, terminate access, or block any device IP that exhibits abusive behavior, scraping patterns, API abuse, or security compromise.
7. Limitation of Liability and Disclaimers
To the maximum extent permitted by law, Wayly Inc., its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenues, or data, arising from or related to the Services.
Wayly Inc. is not liable for flight delays, hotel room discrepancies, baggage loss, personal injury, death, property damage, or any other loss sustained during travel. All claims regarding travel service delivery must be handled directly with the carrying transport provider or lodging facility. In no event shall Wayly's aggregate liability for any dispute exceed the amount paid by the user for the specific booking in question.
8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action, suit, or dispute arising out of or in connection with these Terms shall be resolved exclusively through binding arbitration in Wilmington, Delaware, on an individual basis. You hereby waive your right to participate in class-action lawsuits or class-wide arbitration.
